How to start an LLC in DELAWARE

How to Start an LLC in Delaware in 2026: $110 Filing, $400 Annual Tax

8 months ago · Updated 3 days ago

Delaware is a distinctive LLC jurisdiction because its statute emphasizes contractual flexibility and its Court of Chancery specializes in business disputes. Those advantages are real, but they do not make Delaware the automatic best state for every founder.

For a domestic Delaware LLC, the current state fee schedule lists $110 for a standard one-page Certificate of Formation. The LLC then owes a $400 annual Delaware LLC tax, due June 1, and Delaware LLCs do not file the corporation-style annual report.

Delaware is a legal-structure choice, not a universal shortcut. If your activities require foreign qualification in another state, forming in Delaware can add a second registration, another registered-agent obligation and another compliance layer. Compare that full footprint before filing.

1. Choose a compliant Delaware LLC name

A Delaware LLC name must contain “Limited Liability Company,” “L.L.C.” or “LLC” and must be distinguishable on the Division of Corporations' records from protected names already on file. A member or manager name may appear in the LLC name, but it is not required.

2. Appoint a registered agent in Delaware

Every Delaware LLC must maintain a registered office and registered agent in Delaware. The agent's business office must match the registered-office address and be available for service of process under the state's requirements.

Who can serve?
✓
The LLC itselfPossible when the entity has the required Delaware office and satisfies the statutory conditions.
✓
Delaware resident or eligible entityThe agent must have the qualifying physical Delaware office.
✓
Professional registered-agent serviceCommon for founders who do not maintain their own eligible Delaware office.

A professional service can reduce the need to place a home address into registered-office fields, but it does not make every filing or later business record anonymous. See our registered agent guide for the role and tradeoffs.

3. File the Delaware Certificate of Formation

The Certificate of Formation creates the Delaware LLC. Under §18-201, the filing must state the LLC name, registered-office address and registered-agent name/address. One or more authorized persons execute the certificate.

What the public formation document does not require

The statute does not require a standard Certificate of Formation to identify the members or managers as member/manager fields. That is a genuine privacy feature, but the certificate still includes the registered-office/agent information and an authorized-person signature/name on the standard form.

Current formation filing — August 2026 schedule
Standard domestic LLC formation$110
24-hour service surcharge+$50
Same-day service surcharge+$100
2-hour service surcharge+$500
1-hour service surcharge+$1,000
Standard processing time varies with filing volume. Expedited charges are additional to the applicable filing fee.

Delaware now provides an electronic Document Filing and Certificate Request submission service. It is an electronic document-submission channel, not a direct form that calculates the fee and instantly creates the LLC.

4. Put the Delaware LLC agreement in writing

Delaware gives unusually strong effect to freedom of contract in an LLC agreement. State law recognizes a limited liability company agreement as written, oral or implied, and the agreement does not get filed with the Secretary of State.

Why a written agreement still matters

A written agreement is the practical place to define management, voting, transfers, distributions, admission of members and other internal rules. Delaware law permits duties to be expanded, restricted or eliminated by agreement in many circumstances, but the implied contractual covenant of good faith and fair dealing cannot be eliminated.

Do not treat a template as automatic legal protection. Delaware's contractual flexibility makes the agreement more important, not less. Multi-member companies, outside investment and unusual economic rights deserve document-specific legal review.

For the general structure, see our LLC operating agreement guide.

5. Get the EIN you need and set up banking

An EIN is free when obtained directly from the IRS. The application method depends on the applicant's facts; Delaware formation does not make everyone eligible for the online EIN tool.

SituationIRS routeCurrent IRS timing
Principal place of business in the U.S. and online-eligible responsible partyIRS onlineImmediate if approved
Fax applicationForm SS-4Generally about 4 business days when a return fax number is provided
International applicant outside the U.S.Phone, fax or mailMethod-dependent; mail is approximately 4 weeks

Bank account requirements vary by institution. Common requests include formation evidence, EIN documentation, identification and ownership/authorization records. Keeping business funds separate also supports cleaner accounting and documentation, but a single commingled transaction does not automatically erase limited liability nationwide.

6. Understand Delaware LLC taxes and licenses

Delaware LLC tax map
Annual Delaware LLC tax$400
Due dateJune 1
State/local sales taxNone
Gross receipts taxCan apply to Delaware business activity
Entity/member income-tax filing depends on federal classification and Delaware business activity; formation in Delaware does not create a universal 0% income-tax rule.

The annual LLC tax is not an annual report fee

Every domestic Delaware LLC and foreign LLC registered in Delaware owes the annual tax. The statute sets the amount at $400 and the due date at June 1 following the close of the calendar year. Delaware LLCs do not file the annual report required of corporations.

If the tax is unpaid by the due date, Delaware adds a $200 penalty and 1.5% interest per month or portion of a month. The company also loses good-standing status while the default remains.

No sales tax does not mean no Delaware business tax

Delaware has no state or local sales tax. However, businesses conducting activity in Delaware can face gross receipts tax, and most businesses operating in Delaware need a state business license. The annual license fee varies by activity and is generally $75 for a first location.

For federal classification and owner-level tax treatment, use our LLC tax guide rather than assuming Delaware changes the federal tax classification of the LLC.

7. Keep the Delaware LLC in good standing

Maintain the registered agent
Keep an eligible Delaware registered office and agent continuously in place.
Pay the annual LLC tax by June 1
The LLC tax is the core Division of Corporations annual payment for a standard Delaware LLC.
Handle Delaware revenue obligations if operating there
Business licensing, gross receipts, withholding and income-tax filings depend on the business facts.

Foreign qualification and local tax/licensing requirements are determined by the other jurisdiction's law.
BOI in 2026: A Delaware LLC created under U.S. law is exempt from FinCEN's BOI reporting requirement under the August 2026 final rule. Only certain foreign-created entities registered to do business in the United States remain within the federal reporting-company definition.

8. Delaware LLC privacy: useful, but not “total anonymity”

Delaware's standard Certificate of Formation does not require member or manager names. That reduces ownership information on the formation document compared with states that require member/manager fields.

InformationStandard formation document
LLC nameRequired
Registered office and registered agentRequired
Member names as member fieldsNot required
Manager names as manager fieldsNot required
Authorized person executionRequired

Privacy can change through later filings, contracts, licensing records, tax records, bank/KYC records, lawsuits or foreign qualification in another state. Delaware therefore offers a narrower public-formation record, not a guarantee that an owner will never appear in any public or regulated record.

9. Delaware protected series and registered series are different

Delaware supports both protected series and registered series. They should not be presented as one generic “Series LLC” product because the filing and annual-tax consequences differ.

Protected series
Uses the protected-series framework under the parent LLC rather than a separate registered-series certificate.
VS
Registered series
Current state fee schedule lists $110 for registered-series formation; Delaware law adds a $100 annual tax per registered series.

The parent Delaware LLC still has its own $400 annual tax. See our Series LLC guide for the cross-state distinction between protected and registered models.

10. When Delaware is — and is not — the practical choice

SituationWhat to evaluate
Business operates mainly in another stateCompare Delaware plus foreign qualification against forming directly in the operating state.
Holding or multi-entity structureEvaluate Delaware's contractual flexibility, annual tax and the jurisdictions where assets/business activity actually sit.
Outside investment expectedConfirm whether investors actually want a Delaware LLC or, more commonly in institutional venture financing, a Delaware corporation.
Non-U.S. founderDelaware ownership is available to nonresidents, but EIN, tax, banking and state-choice issues remain fact-specific.

Use our best state to form an LLC guide to compare Delaware with an operating-state formation instead of treating Delaware's reputation as a substitute for the foreign-qualification analysis.

Formation sequence: choose the compliant name → appoint the Delaware agent → submit the Certificate of Formation → document the LLC agreement → obtain the EIN through the eligible IRS route → complete tax/licensing and other-state registration that actually applies.

Delaware LLC questions

Formation and structure

Can a non-U.S. resident own a Delaware LLC?
Delaware's LLC formation rules do not require a member to be a U.S. citizen or Delaware resident. Federal tax, EIN, banking and immigration questions are separate from the state-law ability to own the LLC.
Does Delaware require a written operating agreement to be filed?
The LLC agreement is not filed with the Secretary of State. Delaware law recognizes written, oral or implied LLC agreements, although a written agreement is usually far easier to administer and prove.
Can I submit a Delaware LLC filing electronically?
Delaware provides an electronic Document Filing and Certificate Request submission service. It is a document-submission channel rather than a direct online form that calculates the fee and instantly forms the LLC.

Taxes, privacy and compliance

Does a Delaware LLC need a Delaware business license?
A person or entity conducting a trade or business in Delaware generally needs a Delaware business license. Formation in Delaware alone and conducting business in Delaware are different questions.
Is a Delaware LLC anonymous?
No. Member and manager names are not required as such on the standard Certificate of Formation, but other filing fields and later public or regulated records can identify people connected with the company.
Does a Delaware LLC have to file BOI with FinCEN?
A Delaware LLC created in the United States is exempt from BOI reporting under FinCEN's August 2026 final rule. Certain foreign-created entities registered in the United States can still be reporting companies.
