New Jersey LLC Name Search: Check Availability & Naming Rules

5 months ago · Updated 4 days ago

Before filing a New Jersey LLC, check the proposed name with the state’s Business Name Availability search. New Jersey requires an LLC name to use an accepted LLC designator and to be distinguishable in the filing office’s records.

The state portal also has a separate “Registered Businesses” search. That tool is useful for researching existing entities, but it does not answer the same question as the availability search used before formation.

→

The official portal includes two tools that look similar but answer different questions.

Search What It Does Best Use
Search Registered Businesses Searches the existing New Jersey business database and returns matching entities regardless of whether the name is available for a new registration. Research an existing company, find similar names, or look up an Entity ID.
Search for Available Names Determines whether a proposed name can be used to begin a new Business Formation application. Check the name you want for a new New Jersey LLC.
Do Not Confuse “No Exact Match” With “Available” Browsing registered businesses is useful research, but the Business Name Availability search is the relevant tool when your question is whether New Jersey will let you start a formation with that proposed name.
1

Open the official Business Entity Name Search

Go to the New Jersey DORES search portal. You do not need to use a third-party formation website just to check a name.

2

Select “Business Name Availability”

This is different from simply browsing registered businesses. The availability tool is designed to determine whether a name can be used to begin a Business Formation filing.

3

Enter the proposed business name

The availability search requires at least four qualifying characters. The portal excludes certain articles, spaces, punctuation, conjunctions and a trailing “s” when applying that minimum.

4

Review the availability result

If the name is not available, try changing a meaningful part of the name rather than relying on punctuation, capitalization or a tiny grammatical variation. The LLC punctuation guide explains why commas and periods do not count.

5

Check the name beyond New Jersey's entity database

Before investing in a brand, also check federal trademarks and practical issues such as domains and existing businesses using similar branding.

What Does “Distinguishable” Mean for a New Jersey LLC Name?

New Jersey law requires an LLC name to be distinguishable in the filing office's records from other entities and reserved names.

The official availability-search help page gives us something more useful than generic advice: it explains what the automated search ignores when looking for similar names.

What the NJ Available Name Search Ignores
×
Capitalization Changing upper- and lowercase letters does not create meaningful separation in the availability search.
×
Spaces Spacing differences are ignored by the availability search.
×
Common punctuation The portal ignores periods, commas, dashes, apostrophes and ampersands when searching for similar names.
×
Leading articles A, AN and THE are ignored.
×
AND, OR and OF These conjunctions are ignored by the availability search.
×
Trailing “s” The search also ignores a trailing “s” when checking for similar names.
Why This Matters If an existing name conflicts with yours, changing only capitalization, punctuation, an article, a conjunction or a trailing “s” is not a strong strategy. Change a substantive word or phrase and run the availability search again.

The portal also adds a wildcard to the end of the proposed name so that similar names can be surfaced. This is why the availability tool is more useful than manually looking for one exact spelling.

New Jersey LLC Naming Rules

The New Jersey Revised Uniform Limited Liability Company Act sets the core LLC naming rules.

NJ LLC Name Requirements
✓
Include an LLC designator
The name must contain “limited liability company,” “L.L.C.” or “LLC.” The statute also permits abbreviating “Limited” as “Ltd.” and “company” as “Co.”
Required
✓
Be distinguishable in New Jersey's records
The name must be distinguishable from entities incorporated, organized or authorized to transact business in New Jersey and from reserved names.
Required
!
Comply with restrictions imposed by other New Jersey laws
The LLC statute prohibits words or phrases whose use is prohibited or restricted elsewhere in New Jersey law unless the applicable requirements are satisfied.
Check if relevant

Rather than relying on a static list of supposedly “47 restricted words,” this page follows the statute's broader and more accurate rule: some words can be restricted under other New Jersey laws depending on the industry or activity.

How to Reserve a New Jersey LLC Name

If your LLC name is available but you are not ready to form the company, New Jersey law allows you to reserve the name.

120 days
LLC reservation period under N.J.S.A. 42:2C-10
$50
Current LLC name-reservation fee

For an LLC specifically, N.J.S.A. 42:2C-10 states that an available name reservation lasts 120 days. New Jersey's current DORES fee schedule lists the LLC name-reservation fee at $50.

A Note About Conflicting NJ Guidance Business.NJ.gov currently has a general business-name page that says reserved names are available for six months. The LLC statute itself specifically provides a 120-day period for limited liability company names. For an LLC, this guide follows the LLC statute. If you plan to reserve rather than form immediately, confirm the filing instructions shown by DORES at the time you submit.

Name reservation is optional. If you are ready to form the LLC now, you can usually proceed to the Certificate of Formation instead of paying for a separate reservation.

Alternate Names, DBAs and New Jersey LLCs

New Jersey terminology is easy to mix up:

Term Who Uses It? Key Rule
Legal LLC name Domestic New Jersey LLC Must satisfy the LLC name and distinguishability rules.
Alternate name Established NJ entities, including LLCs Registered after the entity exists; current fee $50.
DBA for NJ registration Out-of-state business whose exact legal name is unavailable in NJ New Jersey's DORES guidance reserves this foreign-registration “dba” route for out-of-state businesses.

Alternate Name for an Existing New Jersey LLC

Once an LLC has been established, it may register an alternate name to conduct business under another name. New Jersey's DORES states that the selection of an alternate name is not subject to the same name-availability requirements as the entity's legal name.

The current filing fee is $50, and registration is effective for five years. Registration does not give the LLC exclusive rights to the alternate name.

DORES currently uses Form C-150G for alternate-name registration. See the official New Jersey alternate-name guidance for filing and renewal instructions.

DBA for an Out-of-State Company

If an LLC was formed outside New Jersey and its exact legal name is unavailable in New Jersey, the foreign-registration process may require a secondary “doing business as” name. That is a different situation from an existing domestic New Jersey LLC registering an alternate name.

See the New Jersey foreign LLC guide if your company already exists in another state.

A New Jersey Name Search Is Not a Trademark Search

State LLC-name availability and trademark rights answer different questions.

The New Jersey search tells you whether a proposed entity name can be used in the state's business-formation system. It does not tell you that the name is safe to use as a brand everywhere in the United States.

Before investing heavily in branding, search the USPTO's current Trademark Search system for potentially conflicting federal marks.

USPTO Trademark Search
→
TESS Is Outdated The old USPTO Trademark Electronic Search System (TESS) was retired in 2023. Use the current USPTO Trademark Search system instead of following older guides that still send you to TESS.

A basic database search is useful screening, but trademark clearance can involve similarity of sound, appearance, meaning, and related goods or services. A database result by itself is not a legal opinion that a mark is safe to use.

What to Do After Your New Jersey LLC Name Is Available

If your proposed name passes the availability search and you are ready to proceed, move into the formation sequence rather than continuing to create extra naming filings you do not need.

After the Name Search
Decide whether you actually need a reservation
If you are filing now, a separate $50 reservation may be unnecessary. Reserve only when you need to hold the name before formation.
Get your EIN
Current New Jersey registration guidance places the federal EIN before the state formation filing. See the EIN guide.
Choose the New Jersey registered agent
You will need registered-agent and registered-office information for formation. See the New Jersey registered agent requirements.
File the Certificate of Formation
The current New Jersey state fee for a domestic LLC Certificate of Formation is $100. See the Certificate of Formation guide.

The complete sequence is covered in the New Jersey LLC formation guide, while the New Jersey LLC cost guide separates mandatory and optional expenses.

New Jersey LLC Name Search — Bottom Line

Use the official Business Name Availability search, not just the registered-business browser. New Jersey's search ignores capitalization, spaces, several punctuation marks, leading articles, AND/OR/OF and a trailing “s” when looking for similar names.

If you need to hold an available LLC name before formation, the LLC statute provides a 120-day reservation and the current state fee is $50. After formation, an LLC can register a separate alternate name for $50; that registration lasts five years.

Frequently Asked Questions

Where do I search for an available New Jersey LLC name?

Use the official New Jersey Business Entity Name Search at njportal.com/dor/businessnamesearch and choose Business Name Availability.

Is searching registered businesses the same as checking name availability?

No. The registered-business search returns matching existing entities regardless of whether a name is available for a new registration. The Business Name Availability search is specifically designed to determine whether a proposed name can be used to begin a formation.

What does New Jersey ignore when comparing similar business names?

The official availability-search help says it ignores capitalization, spaces, periods, commas, dashes, apostrophes, ampersands, leading A/AN/THE, AND/OR/OF, and a trailing “s” when searching for similar names.

How long can I reserve a New Jersey LLC name?

For LLCs, N.J.S.A. 42:2C-10 provides a 120-day reservation period. The current LLC name-reservation fee is $50.

Why does Business.NJ.gov mention six months for name reservations?

Business.NJ.gov currently publishes a general business-name page stating six months, while the New Jersey LLC statute specifically states 120 days for an LLC name reservation. For LLCs, this guide uses the LLC-specific statutory rule and recommends confirming the current DORES filing instructions when reserving a name.

Can a New Jersey LLC use a DBA?

An established New Jersey LLC can register an alternate name. New Jersey uses the “DBA” terminology in its registration guidance primarily for out-of-state businesses whose legal name is unavailable in New Jersey.

How much does a New Jersey LLC alternate name cost?

The current New Jersey state fee is $50. The registration is effective for five years and can be renewed.

Does registering an alternate name give me exclusive rights to it?

No. New Jersey DORES specifically states that alternate-name registration does not provide exclusive rights to the name.

Do I still need to search trademarks if the NJ name is available?

Yes. New Jersey entity-name availability and federal trademark rights are separate. Use the current USPTO Trademark Search system to look for potentially conflicting federal marks.
