LLC Annual Report Deadline Tracker

LLC Annual Report Deadline Tracker — All 50 States (2026)

7 months ago · Updated 2 days ago

Use this LLC annual report tracker to check the recurring filing rule, frequency, state fee and official guidance for all 50 states. Some states require a biennial statement, a renewal fee or a tax payment instead of an annual report. These obligations have different rules.

Sources reviewed: October 11, 2026. Default scope: ordinary domestic LLCs. Foreign LLC differences are included where stated; professional, nonprofit, series and other special entities may have different requirements. Fees shown are for the named filing, not the total cost of maintaining an LLC.

LLC Annual Report Deadline Tracker — All 50 States

Choose the state where the LLC is formed or registered. Check each registration separately if your LLC operates in more than one state.

Confirm your reporting year before filing. This tool displays the state rule. It does not access your LLC's account, establish whether an old report is overdue, submit filings or send reminders. For anniversary dates, biennial cycles, first reports, extensions and fiscal-year deadlines, confirm the actual date in the official entity record. Add that confirmed date to your calendar.

What is an LLC annual report?

An annual report usually confirms the business's public information: legal name, principal address, registered agent and members or managers where required. It is different from a federal income tax return. Some state systems combine reporting with a license tax or other payment; a franchise tax payment should not be described as an ordinary information report.

Depending on the state, the filing may be called an Annual Registration, Periodic Report, Annual Statement, Annual Certificate, Statement of Information or Biennial Report. The label alone does not determine the due date or fee. Check the LLC-specific instructions, rather than using a corporation's rules.

LLC filing deadlines and fees by state

The table and the state selector use the same information. All amounts are in US dollars. Base fees exclude optional services and additional processing charges unless expressly included. A free report may still be mandatory. On a small screen, scroll the table horizontally to read the notes and official sources.

Fixed dates, anniversaries and biennial cycles

A fixed deadline such as Florida's May 1 differs from a deadline based on the LLC's formation. Anniversary rules also differ: Illinois requires filing before the anniversary month, Wyoming uses the first day of that month, and some states use its last day. Hawaii and domestic Wisconsin LLCs use the end of the formation quarter.

For Alaska, Kansas, California, Indiana and New York, determine the applicable two-year cycle from the official record. Iowa and Nebraska generally use odd-numbered years. First-report rules can defer the initial recurring filing, but an initial statement may still be required earlier, as in California.

What happens if you miss a deadline?

The consequence depends on the state and obligation. Possible outcomes include a late fee, interest on unpaid tax, delinquent status, administrative dissolution or termination of authority for a foreign LLC. These do not necessarily happen on the due date or in the same order in every state.

Florida adds $400 to a late LLC annual report. Delaware's alternative entity tax has a separate penalty and interest system. Pennsylvania began annual reports in 2025, with administrative enforcement beginning with missed 2027 reports. Do not apply one state's penalty schedule to another state.

Administrative dissolution and reinstatement

If your LLC is already dissolved or revoked, check its official status before trying to submit a normal report. Reinstatement may require overdue reports, fees and tax clearance. Do not assume that paying a filing fee alone restores good standing or that a missed report automatically removes all liability protection. The effect depends on the law and the entity's circumstances.

States without a standard LLC annual report

Arizona, Missouri, New Mexico and Ohio do not require a standard LLC annual or biennial report. Alabama has separate Business Privilege Tax rules. South Carolina's ordinary LLC reporting differs from the requirements for an LLC taxed as a corporation.

Delaware LLCs have an annual tax even though they do not file an annual report. Virginia LLCs pay an annual registration fee. Texas LLCs generally have a Public Information Report obligation even when no franchise tax is owed. No annual report does not mean no tax, license, registered agent or other compliance duties.

How to file your LLC annual report

  1. Find the official entity record. Use the state source above or our Secretary of State Business Search guide. Confirm the entity number, type, status and reporting year.
  2. Check the applicable deadline and filing window. Review first-year exceptions, approved extensions and whether the registration is domestic or foreign.
  3. Review the information requested. Check the principal office, registered agent and authorized members or managers. Some changes require a separate amendment.
  4. Review the total before payment. Separate the state filing fee from tax, card processing, expedited service and any private provider fee.
  5. Submit through the state process and retain the receipt. This tracker does not submit anything on your behalf.

What does an LLC annual report cost?

Some states accept a required report without a fee, while others charge a fixed amount, a member-based amount or an asset-based tax. Tennessee's fee depends on member count within a minimum and maximum. Wyoming's license tax can exceed $60 when the Wyoming asset calculation is higher. Nevada's ordinary annual total combines the annual list and state business license.

The state table shows method-specific fees where documented. A paper fee and an online fee may differ, and a temporary waiver can change the amount for a reporting year. For formation expenses and other recurring costs, see the LLC Cost Calculator.

What to do after filing

Keep the accepted report, payment confirmation and updated entity record with your business documents. Verify acceptance and status; a payment receipt may not be the same as an accepted filing. Set a calendar reminder for the next confirmed deadline, with time to resolve missing information. Track tax returns and business license renewals separately.

Frequently asked questions

Do I file if my LLC had no revenue?

A recurring information report generally depends on the entity's registration, not revenue. Tax exemptions may use revenue or other conditions, but those conditions do not automatically exempt a separate report. Check the state-specific rules.

Do single-member LLCs need annual reports?

Ordinary single-member LLCs generally follow their state's LLC reporting requirements. A federal tax classification does not by itself remove state entity reporting.

What if my LLC is registered in several states?

Check each domestic and foreign registration. A foreign LLC can have a different fee or deadline, as in Wisconsin. One state filing does not satisfy every other registration.

Why does Delaware show $400 instead of $300?

Delaware HB 400 increased the alternative entity tax for tax year 2026 onward. Annual tax for the preceding year is due June 1, so the regular 2026 tax payment falls due June 1, 2027. Use the correct historical rate for older years and check any outstanding balance with the Division of Corporations.

Does Montana's fee waiver mean no report is required?

No. The currently published waiver applies to timely filing fees. The annual report still has to be submitted, and the current fee schedule lists $35 after April 15. Confirm the waiver for the year you are filing.

Does this tracker send reminders or file for me?

No. It provides a state reference and source links. It does not connect to your entity account or send email reminders. Add the date confirmed by your state to your own calendar.

How were the state rules checked?

We reviewed state agency guidance, official fee schedules and legislative materials on October 11, 2026. Each state row links its sources. Conflicting or incomplete public guidance is described in the notes, including Iowa's filing-date wording and Idaho's need to confirm the date in SOSBiz. Fees and requirements may change after review.

This reference covers recurring LLC entity filings and specifically identified state payments. It is not a complete tax or legal compliance calendar. Check the linked official instructions for your entity and reporting year.
